1. Parties

These Terms of Service ("Terms") constitute a legally binding agreement between:

  • CH-ISE (Pty) Ltd, registration number 2025/332098/07, 15 Dageraad Street, Jeffreys Bay, Eastern Cape, 6330, South Africa ("CH-ISE", "we", "us", or "our"); and
  • You, the individual or legal entity accessing or using our website at ch-ise.co.za ("the Website") or engaging our services ("you" or "the Client").

By accessing our Website or submitting a form or enquiry, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

Our Website and services are intended for business owners and professionals aged 18 years and older. By using our Website, you represent and warrant that you are at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or the business entity you represent.

3. Description of Services

CH-ISE provides AI automation, workflow and operations automation, custom dashboards and platforms, lead generation systems, and related consulting services to businesses. We build integrated systems using tools including Claude, n8n, Supabase, and Obsidian. Our website serves as a marketing, lead-generation, and e-commerce tool through which prospective clients and customers can:

  • Submit an enquiry form or booking request;
  • Schedule a discovery call via our booking page;
  • Request a personalised AI email demonstration; and
  • Purchase digital products (ebooks) via Paystack.

Submission of a form or enquiry does not constitute a binding service agreement. A separate written service agreement will be concluded before any paid consulting services commence.

Digital Product Purchases

Digital products (ebooks) are delivered electronically to the email address provided at checkout. All sales of digital products are final. Due to the nature of digital goods, refunds are not available once the product has been delivered, except where required by the Consumer Protection Act 68 of 2008. Payment is processed securely by Paystack Payments South Africa (Pty) Ltd. CH-ISE does not store your payment card details.

4. Acceptable Use

You agree not to use this Website to:

  • Submit false, misleading, or fraudulent information;
  • Attempt to gain unauthorised access to any part of our systems or data;
  • Introduce malware, viruses, or any harmful code;
  • Engage in automated scraping, mass form submissions, or spam;
  • Violate any applicable South African law, including but not limited to the ECT Act, POPIA, or the CPA; or
  • Infringe the intellectual property rights of CH-ISE or any third party.

We reserve the right to block or restrict access to any user or entity that we reasonably believe is in breach of these conditions.

5. Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, designs, and software, is the property of CH-ISE (Pty) Ltd or its licensors and is protected under South African copyright law and the Copyright Act 98 of 1978.

You may not copy, reproduce, distribute, modify, or create derivative works from any content on this Website without our prior written consent.

6. Privacy and Personal Information

The collection and use of your personal information is governed by our Privacy Policy, which forms part of these Terms. Our Privacy Policy complies with the Protection of Personal Information Act 4 of 2013 (POPIA).

7. Disclaimer of Warranties

This Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable South African law, CH-ISE makes no representations or warranties of any kind, whether express, implied, or statutory, regarding:

  • The accuracy, completeness, or reliability of content on this Website;
  • The uninterrupted or error-free operation of the Website;
  • The fitness of the Website for any particular purpose; or
  • The security of data transmitted via the internet.

Nothing in this clause limits any rights you may have under the Consumer Protection Act 68 of 2008 (CPA) or any other applicable South African legislation that cannot be excluded by contract.

8. Limitation of Liability

To the maximum extent permitted by South African law (including the CPA), CH-ISE and its directors, employees, and agents shall not be liable for any:

  • Indirect, special, incidental, or consequential loss or damage;
  • Loss of data, revenue, profits, or business opportunity; or
  • Loss or damage arising from your reliance on content on this Website,

arising out of or in connection with your use of this Website or any form submission, even if CH-ISE has been advised of the possibility of such loss.

Where liability cannot be excluded under the CPA or other applicable law, our aggregate liability shall be limited to the amount you have paid CH-ISE in the 3 months preceding the event giving rise to the claim, or R 1,000 (one thousand rand) if no payment has been made.

9. Third-Party Links and Services

Our Website contains links to third-party websites (including Cal.com for booking and YouTube for video content). These links are provided for your convenience only. CH-ISE does not control these websites and accepts no responsibility for their content, privacy practices, or terms. We encourage you to review the terms and privacy policies of any third-party site you visit.

10. Electronic Communications (ECT Act)

In accordance with the Electronic Communications and Transactions Act 25 of 2002:

  • Nature of services: AI automation consulting, workflow and operations automation, custom dashboards and platforms, lead generation systems, and digital product sales (ebooks).
  • Cooling-off period: Where applicable under the CPA (e.g. for direct marketing transactions), you have a right to cancel within 5 business days of entering into an agreement. This does not apply to business-to-business transactions where both parties are juristic persons.

11. Termination of Access

We may, at our sole discretion, suspend or terminate your access to this Website immediately and without prior notice if we reasonably believe you have breached these Terms or any applicable law. Upon termination, all provisions of these Terms which by their nature should survive will remain in effect.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts, specifically the courts of the Eastern Cape Division, without prejudice to our right to apply to any court of competent jurisdiction for urgent or interim relief.

13. Dispute Resolution

If you have a concern or dispute regarding our Website or services, please first attempt to resolve the matter informally by contacting us at dean@ch-ise.co.za. We will endeavour to respond within 10 business days.

If we are unable to resolve the dispute informally within 30 days, either party may refer the matter to the relevant consumer tribunal or court of jurisdiction.

14. Severability and Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable under South African law, that provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Where changes are material, we will provide at least 30 days' notice by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Website after the effective date constitutes your acceptance of the revised Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CH-ISE regarding your use of this Website. They supersede all prior discussions, representations, or agreements relating to the same subject matter.
